TVB Counter End-User License Agreement
Effective Date: September 3, 2026
This End-User License Agreement ("Agreement") governs access to and use of the TVB Counter application ("TVB Counter" or the "Application"), operated by TVB Metal Solutions LLC ("TVB Metal Solutions," "TVB," "we," "us," or "our").
By accessing or using TVB Counter, you agree to the terms of this Agreement.
1. Purpose of TVB Counter
TVB Counter is a business operations application developed for use in connection with TVB Metal Solutions' sales, customer service, inventory, order processing, fulfillment, fabrication, accounting, and related business activities.
The Application may integrate with third-party business systems, including QuickBooks Online, to facilitate authorized business processes such as customer and product synchronization, transaction creation, accounting records, payment-status information, and related operational functions.
2. Authorized Users
TVB Counter is intended primarily for authorized employees, owners, contractors, agents, and other users approved by TVB Metal Solutions.
Access credentials may not be shared with unauthorized persons.
Users are responsible for maintaining the confidentiality of their login credentials and for activity performed through their accounts.
3. License
Subject to this Agreement, TVB Metal Solutions grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use TVB Counter solely for authorized business purposes.
No ownership interest in the Application, its software, source code, databases, workflows, designs, documentation, or other intellectual property is transferred to the user.
4. Acceptable Use
Users may not:
Access or use TVB Counter for an unauthorized or unlawful purpose.
Attempt to circumvent authentication, security controls, or access restrictions.
Attempt to obtain unauthorized access to another user's account or data.
Copy, distribute, sell, sublicense, reverse engineer, or commercially exploit the Application except as expressly authorized by TVB Metal Solutions.
Intentionally interfere with the operation, security, or availability of the Application or its connected services.
Use the Application to transmit malicious software or engage in fraudulent or deceptive activity.
5. QuickBooks Online and Other Third-Party Services
TVB Counter may connect with third-party services, including QuickBooks Online.
When an authorized administrator connects TVB Counter to QuickBooks Online, the Application may access, create, retrieve, synchronize, or update information necessary to perform authorized business functions.
Third-party services remain subject to their own terms, privacy policies, availability, and technical requirements. TVB Metal Solutions does not control the operation or availability of third-party services.
QuickBooks and Intuit are trademarks and/or service marks of Intuit Inc. TVB Counter and TVB Metal Solutions are not endorsed or sponsored by Intuit unless expressly stated otherwise.
6. Business and Accounting Information
TVB Counter may assist with creating or transferring orders, invoices, customer information, product information, payment status, pricing, tax-related transaction information, inventory information, and other business records.
Users remain responsible for reviewing transactions and business records for accuracy and for complying with applicable accounting, tax, regulatory, and recordkeeping requirements.
7. Application Availability
TVB Metal Solutions may modify, update, suspend, restrict, or discontinue all or part of TVB Counter at any time.
We do not guarantee that the Application or any third-party integration will be continuously available or free from errors, interruptions, delays, or technical failures.
8. Intellectual Property
TVB Counter and its associated software, interfaces, workflows, designs, documentation, content, trademarks, and other intellectual property are owned by or licensed to TVB Metal Solutions.
Nothing in this Agreement grants users any right to use TVB Metal Solutions' intellectual property except as necessary for authorized use of the Application.
9. Security
Users must take reasonable steps to protect their credentials, devices, and access to TVB Counter.
Suspected unauthorized access, credential compromise, security incidents, or improper use should be reported promptly to TVB Metal Solutions.
10. Termination of Access
TVB Metal Solutions may suspend or terminate a user's access to TVB Counter at any time, including when a user is no longer authorized to access the Application or violates this Agreement.
Upon termination of access, the user's right to use the Application immediately ends.
11. Disclaimer
TVB Counter is provided on an "as available" basis to the extent permitted by law.
While TVB Metal Solutions takes reasonable measures to maintain the reliability and accuracy of the Application, we do not warrant that it will be uninterrupted, error-free, or compatible with every third-party service or system.
12. Limitation of Liability
To the maximum extent permitted by applicable law, TVB Metal Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use TVB Counter or a connected third-party service.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
13. Changes to This Agreement
TVB Metal Solutions may update this Agreement from time to time. The effective date shown at the top of this page indicates the most recent version.
Continued use of TVB Counter following an update constitutes acceptance of the revised Agreement to the extent permitted by law.
14. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
